The text of the Offer set out below is an official public offer addressed to individuals and legal entities to conclude a contract for the provision of services in accordance with clause 2 of art.437 OF the Civil Code OF THE Russian Federation. The Agreement is considered concluded and becomes effective from the moment you perform the actions provided for in the Offer and which mean your unconditional adherence to all the terms of the Offer without any exceptions or restrictions.

A contract (public offer) for the provision of hotel services

Type of hotel — city hotel; hotel category — Four stars (certificate No. 77/AA-79/1521-2024 dated 03/02/2024) The Customer is the Person who accepted the offer, and is thus the Customer of the Contractor's services under the concluded Offer Agreement. The Customer may be a capable individual who has reached the age of 18, who has the legal right to enter into contractual relations with the Contractor, who intends to order, or who orders and uses services exclusively for personal, family, household and other needs unrelated to business activities, or a legal entity/individual entrepreneur duly registered in the territory of the Russian Federation. who act in the interests of the above-mentioned individuals and do not have other valid contracts for the provision of hotel services with the Contractor. A hotel is a property complex (building, equipment and other property) intended for the provision of services; located at: 170100, Tver, Simeonovskaya str., 30/27 Hotel website — The official website of the Hotel on the Internet — https://www.grandhotelzvezda.com A guest is an individual residing in the Hotel, in respect of whom the offer has been accepted. Check—in time - the time set by the Contractor for the arrival of the Guest; Check—out time is the time set by the Contractor for the departure of the Guest; Booking is the assignment of a room (place in a room) to a Guest in a Hotel on the terms specified by the Customer's request and confirmation of this request by the Contractor.; Booking confirmation is the provision to the Customer of a document containing a list of services ordered by him and accepted by the Contractor. The rules of booking and accommodation are the rules developed by the Contractor in accordance with the current legislation governing the provision of hotel services in the territory of the Russian Federation. The Novy Hotel Limited Liability Company, represented by Konstantin Mikhailovich Kozlov, General Director, acting on the basis of the Charter, invites any person, hereinafter referred to as the "Customer", to conclude this agreement (hereinafter referred to as the Agreement), which is a public offer. This Agreement is a public offer of the Contractor and contains all essential conditions for the provision of hotel services. The full and unconditional acceptance of this public offer is the earliest event in time: payment for Hotel services or arrival of guests. The Customer provides the Contractor with funds for the provision of hotel services. Acceptance of the offer means that the Customer agrees with all the provisions of this Agreement and is equivalent to concluding a Contract for the provision of hotel services.

1. Subject of the agreement

1.1. Under this agreement, the Contractor undertakes obligations to provide services provided at the Hotel on the terms specified in this agreement, and the Customer undertakes obligations to pay for the services provided to him on the terms provided for in this Agreement.

2. List and conditions of services provided at the Hotel

2.1. The Hotel's operating mode is round–the-clock. 2.2. The time specified in this Agreement is the local time set in Tver. 2.3. List of paid services provided at the Hotel: — accommodation; — catering services (provided by OOO "New restaurant" TIN 6950199177, OGRN 1166952071428); — rental of conference rooms and equipment; — spa services — secured parking 2.4. List of services provided to the Customer without additional charge (included in the rates for accommodation): — daily room cleaning; — call an ambulance and other emergency services; — use of a first-aid kit; — call a taxi; — reception and delivery of correspondence at the Reception desk; — wake up to the agreed time; — luggage storage room; — provision of an ironing board and iron for use; — use of wi-fi throughout the Hotel; 2.5. Additional information about the work of the Hotel's services, the list of services provided and their prices is provided on the information stand at the Reception desk. 2.6. The approved current tariffs are posted on the Internet https://www.grandhotelzvezda.com/en/room/, and are also available at the Reception desk.

3. Check-in and check-out of the Hotel

3.1. Check–in time is 15-00 on the day of the Guest's arrival, check–out time is 12-00 on the day of the Guest's departure. 3.2. If the Guest stays in Room for less than a day ( for example, if you check in after the Check-in time of the current day , and/or check out before the Check-out time of the current day ) the fee is charged in the amount of the Room Price (room space) regardless of the time of the Guest's actual stay at the Hotel. If the Guest checks in before the scheduled check-in time (early check-in) and subsequent hotel accommodation room fee (room space) for the period from the time of check-in to the time of check-in, a fee of is charged for half a day. If the period from check-in time to check-in time is more than 12 hours, the fee will be charged in the amount of the Room Price (place in the Room) per day. In case of a delay in the Guest's departure after the check-out time (check-out time ) current day (late check-out) the following payment procedure exists: — a room fee is charged for check-out before 18:00 inclusive (room space) in the amount of the fee for half a day; — upon check-out after 18:00, the fee is charged in the amount of the Room Price (Room space) per day. 3.4. The Guest's departure from the Hotel is carried out before check-out time. In this case, the Guest is obliged to notify the Reception and Accommodation Service of the Hotel, return the room key to the Reception and Accommodation Service employee and make a final payment with the Contractor for the services provided. Upon fulfillment of the specified conditions, the Service Agreement between the Contractor and the Customer is terminated. 3.5. At the request of the Guest, the stay can be extended only if the Contractor has the opportunity to do so and if additional stay time is paid according to the rates valid on the date of the extension. 3.6. Guests with a confirmed reservation have the primary right to stay at the Hotel. Guests who do not have a confirmed reservation are served on a first-come, first-served basis. 3.7. Citizens who have been granted such a right in accordance with the current legislation of the Russian Federation and who have presented the relevant document have the right to extraordinary service. 3.8. 4. Booking procedure, cancellation of the reservation

4.1. Booking of rooms and additional services (catering services, rental of a conference hall, etc.), as well as consulting on related issues is carried out directly at the Hotel Reception desk or using telephone, fax, e-mail and other types of communication, as well as on the Hotel's Website. 4.2. For booking on the Hotel's Website, the Customer can use the online booking form, which allows making a room reservation, paying for the booked services and receiving confirmation of the reservation without contacting the Hotel Reception and Accommodation Service. 4.3. For booking by e-mail, the Customer can send to the Reception and Accommodation Service of the Hotel at the email address booking@grandhotelzvezda.com a booking request containing the following information: — Date and time of arrival and departure of the Guest(s) — The category and number of rooms by category required for accommodation; — Full name of the Guest(s); — A list of additional services that must be ordered in advance; — Additional requirements/requests; — Payment method; — Customer's contact information (full name of the contact person, phone number, e-mail address); — Details of the company in case of need for registration of documents for the company. 4.4. Within 24 hours, the Hotel sends a booking confirmation or cancellation to the address indicated in the request (in the absence of one, to the address from which the request was received). 4.5. In any case, only the confirmation received through the Hotel's website or from the Hotel Reception and Accommodation Service is the basis for the subsequent accommodation of the Guest in the Hotel. 4.6. Type of booking — Non-guaranteed booking. The type of booking in which the Contractor waits for the Consumer until 18:00 on the day of arrival, after which the reservation is canceled. In case of non-guaranteed booking, no advance payment is made by the Consumer and the Customer. When booking by a Customer who is a legal entity or an individual entrepreneur, the amount and timing of the advance payment and other booking conditions are subject to the Contractor's application in accordance with the contract with the Customer and may differ from those specified in these Terms.

5. The order of registration of accommodation and payment.

5.1. When booking a stay, the Contractor issues an invoice to the Guest. 5.2. The Agreement is concluded upon presentation by the Guest of an identity document issued in accordance with the established procedure, including: a) a passport of a citizen of the Russian Federation certifying the identity of a citizen of the Russian Federation on the territory of the Russian Federation; b) a passport of a citizen of the USSR certifying the identity of a citizen of the Russian Federation, until it is replaced by a passport of a citizen of the Russian Federation within the prescribed period.; c) registration of minors under the age of 14 at the hotel is carried out on the basis of identity documents of their parents (adoptive parents, guardians) or close relatives, accompanying person(s), a document certifying the authority of the accompanying person(s), as well as birth certificates of these minors. d) a passport certifying the identity of a citizen of the Russian Federation outside the Russian Federation — for a person permanently residing outside the Russian Federation; e) a passport of a foreign citizen or other document established by federal law or recognized in accordance with an international treaty of the Russian Federation as an identity document of a foreign citizen; f) a document issued by a foreign state and recognized in accordance with an international treaty of the Russian Federation as an identity document of a stateless person; g) temporary residence permits for a stateless person; h) residence permit of a stateless person. It is prohibited in the Hotel for persons under the age of 18 to share a room with persons over the age of 18, provided that these persons are not related. In case of violation of this provision of the Rules, the Hotel administration is not responsible for the possible consequences of the actions of the residents.Responsibility for the possible consequences of the actions of residents is fully borne by a person who has reached the age of 18. The Hotel allows persons under the age of 18 to share a room with persons over the age of 18, provided that these persons are in a family relationship, namely, a child with a mother, father, guardian, trustee, representative of the guardianship authority. The Hotel allows persons under the age of 18 to share a room with persons over the age of 18, provided that these persons are not related in the case of: 1) the written consent of the mother, father, guardian, trustee; 2) the written permission of the guardianship and guardianship authority. In the absence of the above documents, the Contractor has the right to refuse the placement.

6. The cost of services and the payment procedure.

6.1. All payments at the Hotel are made in rubles. Starting from January 01, 2025, the Hotel is recognized as a value-added tax payer. Settlements between the Hotel and the Customer are made in rubles, including VAT 6.2. Settlements are made in cash, by bank card, or by wire transfer. Bank cards of the following payment systems are accepted for payment: VISA, MasterCard, Maestro, MIR, Union Pay, JCB, American Express. 6.3. The basic cost of the services provided by the Hotel for each tariff is indicated in Appendix No. 1. 6.4. Due to the use of dynamic pricing, the current tariff depends on the demand for specific dates of stay, while the cost of Hotel services relative to the base cost may be changed by the Contractor without prior notice. This condition does not apply to the cost of the services indicated in the already confirmed booking. The approved current tariffs are posted on the Internet https://www.grandhotelzvezda.com/ru/room /, and are also available at the Reception desk. 6.5. The Guest is obliged to pay for all services provided by the Hotel before leaving the Hotel. In case of non-payment by the Guest of the services rendered to him after his departure, the amount of debt is written off without acceptance from the Guest's bank card specified at the time of booking. The guest does not object to funds being debited from his bank card to pay for the services provided by the Hotel. 6.6. The cost of services included in the accommodation, but not used by the Guest, will not be refunded. 6.7. A cash receipt is issued to the Guest immediately after payment, and an invoice is issued upon departure from the Hotel. If the payment was made by wire transfer, the Guest will not be issued an invoice at check-out, but will be sent to the Customer in accordance with the procedure established by the legislation of the Russian Federation.

7. Hotel Rules

7.1. For the safe and comfortable stay of Guests and the safety of their property in the Hotel, as well as to ensure the safety of the Hotel's property and order, it is prohibited in the Hotel: — leave unauthorized persons in your room in your absence; — transfer the key to your room to any person other than the Reception and Accommodation staff.; — carry and store weapons, ammunition, explosives and flammable substances, poisonous and toxic substances, narcotic substances, as well as substances and objects with a pungent odor; — use candles and pyrotechnic products in any room and on the adjacent territory of the Hotel; — use primary fire extinguishing agents (fire extinguishers) without justification; — smoke in any room of the Hotel, including in the room, including electronic cigarettes; — take actions that violate generally accepted norms of morality (insults, violence, aggression towards Hotel guests and staff, excessive consumption of alcoholic beverages, inappropriate behavior); — to be in public areas of the Hotel (halls, corridors, cafes, stairwells, elevators) in underwear, naked, barefoot, in swimsuits, with a naked torso, in dirty clothes; — to throw garbage out of windows, any objects, pollute the territory of the Hotel; — rearrange appliances and furniture in the room; remove furniture, appliances, bedding, towels, dishes from the room; — damage the property of the Hotel; — consume alcoholic and non-alcoholic beverages and food products brought with you in any Hotel premises, except for your room; — to remove furniture, dishes, cutlery, and ready meals from the restaurant premises without the approval of the restaurant staff; — use electrical appliances that are not included in the room package, with the exception of computers, razors, and phone/computer chargers. 7.2. In case of violation of the no smoking rule in any room of the Hotel, the Contractor reserves the right to contact law enforcement agencies to prevent such actions. 7.3. In case of non-compliance by the Guest with the above requirements of this Section, the Hotel administration has the right to terminate the contract for the provision of hotel services unilaterally. 7.4. The Guest is obliged to: — observe the fire safety rules established in the Hotel; — comply with the security requirements established at the Hotel; — follow the Rules of booking and staying at the Hotel; — timely pay for accommodation and additional Hotel services; — vacate the room at the end of the paid stay period; — when leaving the room, close the window, taps in the bathroom, turn off the TV, lighting fixtures, close the front door to the room; — observe silence from 23-00 to 07-00; — immediately inform the Hotel administration about the loss of the room key, personal belongings left unattended, and malfunctions of the equipment/furniture installed in the room.; — immediately inform the Hotel administration about the facts of illegal actions of persons who may cause harm to the life, health and property of the Guest, as well as other guests and employees of the Hotel; — immediately inform the Hotel administration about the discovery of suspicious items; — use any sound reproducing devices (TV, radio, turntable, etc.) with a set volume level that does not interfere with other residents; — use the equipment and furniture installed in the room exclusively for its intended purpose; — take care of the property of the Hotel; — to fully compensate the damage caused to the property of the Hotel in accordance with the established price list for damage to the property of the Hotel on the basis of a drawn-up Act, in accordance with the legislation of the Russian Federation, including in the case of a loss of Hotel property registered by the commission after the Guest's stay in the room; — be responsible for damage caused to the property of the Hotel by persons invited by the Guest; — at the end of the stay, obtain the necessary documents confirming the provision of Hotel services and hand over the room key to the Reception desk. 7.5. The Hotel has the right to refuse service to citizens who have signs of drug or alcohol intoxication and whose behavior may cause inconvenience to Hotel guests. 7.6. In case of violation of public order by the Guest, the Hotel staff has the right to call the police. 7.7. The Hotel administration has the right to visit the room without the consent of the Guest (even if there is a "Do not disturb" sign on the door of the room) in case of fire (smoke), fire alarm, short circuit, flooding, violation of public order by the Guest. 7.8. The Hotel is responsible for valuables accepted for safekeeping according to the inventory.

7.9. In order to ensure the safety of Guests, the safety of their property and the property of the Hotel, a video surveillance system operates in the premises (with the exception of hotel rooms and toilet cubicles) and on the adjacent territory of the Hotel. The guest takes note of and does not object to the use of a video surveillance system in the premises and on the adjacent territory of the Hotel.

8. Liability of the parties

8.1. The Parties are responsible for non-fulfillment or improper fulfillment of obligations under this Agreement in accordance with applicable law. 8.2. The Contractor is not responsible for the inability to serve the Guest for any technical reasons beyond his control, including disruption of communication channels, equipment malfunction, etc. 8.3. All relevant information regarding the conditions of accommodation and temporary stay at the Hotel, as well as other conditions for the provision of services, is publicly available at the Reception desk and on the Hotel's Website. 8.4. The Contractor is not responsible for the quality of the services provided by third parties or the non-compliance by the direct service providers or their representatives with the booking conditions and the rules for the application of tariffs, as these terms and conditions are under the exclusive jurisdiction of such providers. 8.5. The Guest assumes full responsibility for the preparation of all necessary documents for the provision of services. The guest should read and comply with all the requirements regarding the registration of documents required for the provision of services. The Contractor is not responsible for the Guest's ignorance or non-compliance with these requirements. 8.6. The Contractor is not responsible in case of non-arrival of the Guest at the Hotel on the first day of arrival and, as a result, possible non-check-in at the Hotel for the remaining period of stay of the stated period. 8.7. The Contractor is not responsible for the non-compliance of the provided service with the expectations of the Guest and his subjective assessment. 8.8. The Contractor is not responsible for the quality of the utilities provided to the Guest, if the provision of these services does not depend on the Contractor. 8.9. The Customer represents the interests of all persons specified in the application and is responsible to the Contractor for the correctness of the information provided in the application about them, for the fulfillment by all persons of all obligations, including obligations to pay for the application. 8.10. The Guest is responsible for the revealed facts of the loss of Hotel property after the Guest vacates the room.

9. Privacy

9.1. The Customer (Guest) is guaranteed the confidentiality of the data provided to them for the purpose of booking hotel services. 9.2. The Contractor is not responsible and does not compensate for losses incurred due to unauthorized use by third parties of the Customer's (Guest's) identification data. 9.3. The Customer (Guest) agrees to the processing and storage of his personal data provided for processing and placing an order. 9.4. By accepting this offer, the Customer (Guest) gives the Contractor, in accordance with clause 1 of Article 6 of Federal Law No. 152-FZ of July 27, 2006 "On Personal Data", consent to the processing of personal data for the purposes of hotel accommodation. The Customer (Guest) grants the Contractor the right to perform all actions (operations) with his personal data, including collection, systematization, accumulation, storage, updating, modification, use, depersonalization, blocking, destruction. The Hotel has the right to process the Guest's personal data by entering them into an electronic database, including them in lists (registers) and reporting forms provided for in documents regulating the procedure for maintaining and composing data in accounting and reporting documentation. The guest can deny access to their personal data at any time by sending an email to info@grandhotelzvezda.com , as well as to exercise other rights available to the Guest with respect to his personal data in accordance with Federal Law.

10. Dispute resolution procedure

10.1. Any dispute or disagreement that may arise between the Parties in connection with this Agreement is subject to settlement through negotiations. 10.2. If no agreement is reached, the dispute is referred to the appropriate court at the Contractor's location.

11. Circumstances of force majeure (force majeure)

11.1. The Parties are released from liability for non-fulfillment or improper fulfillment of obligations assumed under this Agreement, if proper fulfillment proved impossible due to force majeure circumstances. 11.2. The concept of force majeure circumstances covers external and extraordinary events that were absent at the time of signing this Agreement and occurred against the will and desire of the parties, the actions of which the parties could not prevent by measures and means that are justified and reasonable to expect from a bona fide acting party. Such circumstances of the parties include: military operations, epidemics, fires, natural disasters, acts and actions of state bodies that make it impossible to fulfill obligations under this Agreement in accordance with the lawful procedure. 11.3. A Party to this Agreement affected by force majeure circumstances must immediately notify the other party by electronic or telephone of the occurrence, type and possible duration of force majeure circumstances that impede the fulfillment of contractual obligations. If the above-mentioned events are not reported in a timely manner, the Party affected by the force majeure circumstance cannot invoke it as a basis for exemption from liability. 11.4. During the period of force majeure circumstances that release the parties from liability, the fulfillment of obligations is suspended for the duration of such circumstances, and penalties for non-fulfillment of contractual obligations are not applied. 11.5. If force majeure circumstances continue for more than one (1) month, the parties must agree on the fate of this Agreement. If no agreement has been reached by the parties, either party has the right to unilaterally terminate this Agreement by sending a corresponding notification by registered mail or e-mail to the other party.

12. Procedure for amendment and termination of the Agreement

12.1. The Contractor reserves the right to make changes to the terms of this Agreement at any time without prior notice to the Customer (Guest). Unless otherwise specifically agreed, all amendments and additions to the Agreement come into force from the moment of placement at the reception desk of the Hotel. 12.2. This Agreement may be terminated at any time on the initiative of the Customer (Guest) or Contractor by sending a corresponding notification to the other party by mail or e-mail. 12.3. The Contractor has the right to terminate the Agreement at any time without prior notice in case of violations by the Customer (Guest) of the procedure and deadlines for booking and payment for services, as well as violations of other terms of this Agreement.

13. Other conditions

13.1. This Agreement, including all amendments thereto, constitutes one single agreement between the Customer and the Contractor, which replaces all other preliminary agreements, understandings and other relationships, written or oral, between the Parties related to the subject matter of this Agreement. 13.2. In everything that is not provided for in this Agreement, the parties are guided by the current legislation of the Russian Federation.
